Shortly before founding WhiteHatt Internet Television, Daniel Cutting observed a trend — more and more people were turning to the Internet for entertainment.

Although some devices have emerged in the marketplace that attempt to marry the Internet into traditional TV viewing, they fall short in incorporating all fragments into one convenient, intelligent device. Therefore, Cutting and co-founder Robert Heffernan set out to develop an all-in-one device that could integrate the Internet, traditional programming, interactivity, ease of operation and consumer choice: the WhiteHatt Smart Top Box™.

WhiteHatt Smart Top Box™

The WhiteHatt Smart Top Box™ eliminates the multitude of devices that are plugged into consumers’ televisions: cable boxes, DVRs, DVDs, Blu-Rays, and Internet receivers, as well as all the associated remotes. The component comes with all the hardware and software necessary to deliver a variety of programming on a device owned by the consumer and without monthly subscription costs.

WhiteHatt transforms the home entertainment center into a centralized hub, organized and simplified. The primary WhiteHatt component includes everything the consumer needs to view programming on their terms.

WhiteHatt will offer the consumer the freedom and flexibility to define how they watch and use their time watching television — to create and customize their personal entertainment experience. WhiteHatt is designed to be an alternative to high-priced cable, satellite and telecommunications companies’ content delivery subscriptions.

 

Management Team 

Daniel M. Cutting, Co-Founder, President, Chief Executive Officer & Director A serial Internet entrepreneur, Daniel Cutting founded iPlanet Consulting, an Internet-based lead generation service, in 1998. Launched initially for the auto transport industry, iPlanet grew to encompass the entire moving industry. Mr. Cutting sold iPlanet in 2007, after which he consulted in the area of Internet marketing, including search engine optimization (SEO) services, e-commerce and Web development.

Robert Heffernan, Vice President & Treasurer A seasoned customer service professional in industries as diverse as automobile leasing and direct mail, in a variety of positions over 14 years, Mr. Heffernan has serviced clients such as Marsh Inc., Dean Foods Company, Revlon Consumer Products Corporation, Teva Neuroscience, Inc. and W. L. Gore & Associates, Inc. and helped grow Happle Printing, a direct mail provider and owner of printinggonepostal.com. Heffernan’s focus is in the areas of customer service and support, warranty service and facilities management, purchasing, production (including quality assurance and quality control), and commercial sales.

Mark A. Gintis, Chief Technology Officer WhiteHatt’s chief technology officer, Mark Gintis, is a senior engineer with a diverse career in high-technology industries. Gintis joined WhiteHatt in November, 2010 and has been instrumental in developing the operational environment for WhiteHatt’s Internet Television Component and its user interface. Gintis has held positions with U.S. Digital Television, Inc. (USDTV) and Sezmi, where he designed entertainment delivery systems that were a fusion of free broadcast TV, Internet TV, On-demand TV and pay-per-view sources. His background includes 25 years working with major companies including AT&T, Motorola and IBM. Gintis holds a degree in electrical engineering from the University of Florida.

Michael E. Feldman, Director Mr. Feldman has a long and distinguished career working with technology companies and has focused on building and leading engineering teams that innovate best-in-class products. He has been involved with many successful startups, including Xyvision, Inc, Netlink and Wavesmith Networks. At Wavesmith, Mr. Feldman served as Senior Director and General Manager for the Acton, Massachusetts Research & Development facility. Currently, Mr. Feldman serves as Vice President of Engineering for BigBelly Solar, a provider of the world’s first solar-powered trash compactors. Mr. Feldman earned his Bachelor’s Degree in Computer Science from Rochester Institute of Technology.

Neil R. Gordon, Director Mr. Gordon began his career with the accounting firm of Haskins & Sells in 1969 and served as director of finance and accounting of Empire of Carolina, Inc., from 1979 to 1982. He was then associated with Centronics Data Computer Corp, a computer peripherals manufacturer and Ekco Group, Inc., a leading consumer products manufacturer and marketer, for fourteen years, including eight years as the company’s treasurer, before establishing N.R. Gordon & Company in 1995. Mr. Gordon served on the board of directors and audit committee of Natural Blue Resources, Inc. (formerly Datameg Corporation), on the board of directors, audit committee and compensation committee of Avitar, Inc., and as an advisor to many emerging companies.

Strategic Alliances

MFMvc provides incubation and financial advisory services to WhiteHatt and, through its related entity, Media Funding Management, will provide mainstream advertising once the Company is publicly traded. WhiteHatt will then have full access to virtually all mainstream media, cash-free through an equity advertising exchange facility. Equity advertising exchange trades equity in a fair value exchange for mainstream advertising. Media Funding Management will facilitate the procurement of advertising and related services, in exchange for WhiteHatt’s common stock.

Labertew & Associates, LLC WhiteHatt usees the law firm of Labertew & Associates, LLC (www.labertewlaw.com) for legal services related to this offering and U.S. corporate law. Labertew & Associates’ primary expertise is assisting emerging companies through growth and acquisitions. In this capacity, they facilitate private and public securities offerings, provide general corporate expertise and advice, and offer capable commercial litigation experience.
